Please read these Terms & Conditions carefully before using NAUZELL. These terms explain your rights, responsibilities, and how our marketplace operates for private individual users in Australia.

This platform is designed exclusively lor private individual users in Australia (Consumer-to-Consumer).
Download PDF1. Nature of the Service and Eligibility
Peer-to-Peer (C2C) Venue Only
The Platform, operated by [Nombre de tu Empresa, S.L.] (hereinafter, "the Company", "We", or "Us"), acts exclusively as an electronic intermediary venue. The Platform facilitates the sale of second-hand personal clothing and accessories directly between private individual users residing in Canada (Consumer- to-Consumer or "C2C").
Exclusion of Commercial Entities
This Platform is strictly reserved for non-commercial, private individuals selling their personal items (hobbies). Registration, listing, or selling by commercial entities, shops, professional traders, or individuals operating as a business is strictly prohibited.
No Transfer of Title
The contract for the sale of any item is formed strictly and exclusively between the Buyer and the Seller. The Company is not a party to any sale transaction, does not take title to any item, and does not act as an auctioneer, merchant, or retail seller.
2. Mandatory collection of tax data (cra & OECD regulations)
Service Guarantee
Our Platform services come with guarantees that cannot be excluded under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010). For any major failure with our intermediary platform service, you are entitled to a cancellation of your service contract and a refund of the unused portion, or to compensation for its reduced value.
Private Sales Disclaimer
Users explicitly acknowledge that because sales on this platform occur strictly between private individuals (C2C), individual Sellers are not considered "tradespersons" or "businesses" under the ACL. Therefore, statutory consumer guarantees regarding product defects, fitness for purpose, or change of mind do not apply to the items sold by private Sellers on this web application.
3. Mandatory annual revenue caps for private sellers

Hard Limit Per Calendar Year
1. The $75,000 AUD Hard Limit
To ensure compliance with the Australian Taxation Office (ATO) regulations regarding non-commercial hobbies, the Platform enforces a strict automated annual gross sales cap of $75,000 AUD per individual Seller account within any calendar year.
2. Automated Account Suspension
Once a Seller's gross transaction volume reaches eighty percent (80%) of this limit ($60,000 AUD), the system will issue an automated preventive email notification. Upon crossing the $75,000 AUD threshold, the system will automatically deactivate the Seller's ability to list new items or complete further sales until the commencement of the next calendar year. The Platform will not allow the migration of accounts to professional or business status under any circumstances.
4. Pricing transparency and interactive chat fees
- 1. Anti-Drip Pricing Compliance In accordance with the Australian Competition and Consumer Commission (ACCC) regulations against hidden pricing, all platform fees are fully desegregated and visible to the Buyer prior to making any transaction commitment.
- 2. Interactive Chat Breakdown When browsing a product or interacting within the internal chat system, the Buyer will see a complete live calculation of the final total. For a listed price (e.g., $20.00 AUD), the chat and checkout screen will dynamically display the full breakdown, including the item cost, shipping, and the mandatory Buyer Protection Fee.

5. Fees and commissions structure
All transaction fees on the platform are processed in Australian Dollars ($ AUD) and are established as follows
1. Buyer Protection and Service Fee (PAC)
For every purchase, the Buyer shall pay a mandatory fee to cover platform infrastructure, secure escrow, and dispute mediation. This fee consists of:
Fixed Service Charge $0.80 AUD
Variable Protection Charge 5% of the item's listed sale price.

2. Fixed Seller Transaction Fees
Sellers are charged a flat transactional fee per successful sale, which is automatically deducted from their total pending balance upon completion. The flat tiers are
Sales from $0.00 to $299.99 AUD Fee is -1.00 AUD
Sales from $300 to $799.99 AUD Fee is -$2.00 AUD
Sales from $800 and above (No limit): Fee is -$3.00 AUD
Shipping Label Fee
The Buyer is solely responsible for paying the cost of the automated shipping label generated by the platform at checkout
6. Stripe connect and escrow payment system

Third-Party Payment Processor All financial transactions, card processing, and escrow fund retentions are exclusively handled by Stripe Connect. By using this platform, users agree to be bound by the Stripe Connected Account Agreement and the Stripe Terms of Service.

Funds Retention (Escrow) When a Buyer purchases an item, the total amount is securely held by Stripe Connect in a temporary escrow state. Funds do not enter the Company's corporate general accounts.

Release of Funds Funds will be transferred to the Seller’s available balance only when the Buyer clicks the "Everything is OK" confirmation button within the web application, or automatically fourteen (14) days after the confirmed delivery date if no dispute is opened.

Limited Payment Collection Agent The Seller appoints the Platform as its limited payment collection agent solely for the purpose of accepting funds from the Buyer on behalf of the Seller. Payment made by the Buyer to the Platform shall satisfy the Buyer’s obligation to pay the Seller.
7. Disputes, returns, and refunds
- Buyer Protection Scope
A Buyer may initiate a dispute within forty-eight (48) hours of package delivery if the item is "Significantly Not as Described" (e.g., counterfeit, entirely wrong item, or severe undisclosed damage).
- Non-Refundable Platform Fees:
The Buyer Protection Fee ($0.80 AUD + 5%) is a fee for digital marketplace services already fully rendered by the platform during the matching and escrow setup. In the event of a mutual return or a claim where the Buyer sends the item back to the Seller, the item price will be refunded, but the Platform Fees are strictly non-refundable.
- Counterfeit Policy
If an item is verified by our team to be counterfeit, the transaction will be cancelled. The Buyer will receive a full refund, and the Seller’s account will be permanently banned.
8. Privacy and Australian Privacy Principles Compliance

1. Privacy and data retention Compliance with the Privacy Act 1988: We manage all user information in strict accordance with the Australian Privacy Principles (APPs). Your financial information, bank details, and personal identification are securely encrypted and processed directly by Stripe.

2. Data Sharing Personal data such as full names and shipping addresses are shared with domestic logistics networks solely for the purpose of fulfilling deliveries.

3. GST EXEMPTION FOR PRIVATE GOODS AND PLATFORM FEE COMPLIANCE Private sellers may qualify for GST-exempt treatment when selling eligible second-hand goods through the platform. Platform service fees remain subject to applicable GST requirements and are handled separately from the sale of private goods.

4. GST-Free Status of Second-Hand Clothing In accordance with Australian Taxation Office (ATO) regulations, the sale of personal, second-hand clothing and accessories by private individuals as a non-commercial hobbyist does not attract Goods and Services Tax (GST). Consequently, no GST will be added to the item price listed by C2C Sellers on the Platform.

5. Taxation of Platform Service Fees As an Electronic Distribution Platform (EDP) operator, the Company is solely responsible for collecting and remitting any applicable GST (10%) exclusively levied on the Platform’s domestic service fees (Buyer Protection Fees and Seller Transaction Fees) charged for digital mediation.

6. Automated Commercial Activity Tracking: To guarantee that the marketplace remains strictly reserved for peer-to-peer (C2C) hobbyists, the web application integrates automated monitoring algorithms via Stripe Connect. This infrastructure analyzes transaction frequencies and volumes to detect if a private seller is acting "in trade" or operating a commercial business storefront.

7. Administrative Locks and Disclosures If Stripe flags an account for systematic commercial patterns, or if user transaction thresholds activate federal reporting rules under the Sharing Economy Reporting Regime (SERR), the user must provide an Australian Business Number (ABN) or Tax File Number (TFN). Non-compliance within fourteen (14) days will trigger an automated lock on payouts and a temporary hold on the account’s publishing features.
