Please read these Terms & Conditions carefully before using NAUZELL. These terms explain your rights, responsibilities, and how our marketplace operates for private individual users in Canada.

Download PDF1. Nature of the Service and Eligibility
Peer-to-Peer (C2C) Venue Only
The Platform, operated by [Nombre de tu Empresa, S.L.] (hereinafter, "the Company", "We", or "Us"), acts exclusively as an electronic intermediary venue. The Platform facilitates the sale of second-hand personal clothing and accessories directly between private individual users residing in Canada (Consumer- to-Consumer or "C2C").
Exclusion of Commercial Entitie
This Platform is strictly prohibited for corporations, retail shops, professional traders, or any individual operating for commercial or organized resale purposes.
No Transfer of Title
The contract for the sale of any item is formed strictly and exclusively between the Buyer and the Seller. The Company does not take title to any item, offers no warranties regarding the products, and does not act as a merchant or retail distributor.
2. Mandatory collection of tax data (cra & OECD regulations)
Automated Reporting Thresholds
In accordance with the Reporting Rules for Digital Platform Operators enforced by the Canada Revenue Agency (CRA), the Platform is legally required to collect and report tax information for sellers who exceed specific activity limits.
Tax Verification Trigger
The system will automatically monitor individual account activity and transaction volumes. When a Seller achieves automated activity thresholds and attempts to process a bank withdrawal (payout) after reaching specific volume limits, they will be mandatorily required to complete their tax verification on the platform.
Consequences of Non-Verification
If the user fails to provide their valid tax information within fourteen (14) calendar days from the initial system notification, the platform (in cooperation with Stripe) will proceed to restrictively withhold pending funds and temporarily suspend their selling capabilities immediately

1. Small Supplier GST/HST Threshold
To ensure full regulatory compliance and maintain the ecosystem strictly as a non-commercial C2C marketplace, the platform enforces a maximum gross annual sales cap of $30,000 CAD per user account.
2. Automated Account Lock
Once a Seller reaches $30,000 CAD in gross sales within the same calendar year, the web application's code will automatically deactivate their ability to publish new listings or receive further purchases until the commencement of the next fiscal year.
4. Pricing transparency and anti-drip pricing compliance
- 1. Competition Act Compliance In accordance with the strict regulations enforced by the Competition Bureau of Canada against Drip Pricing, the total cost of the transaction will be displayed transparently and in a desegregated manner from the initial stages of purchase.
- 2. Chat and Product Page Breakdown When a Buyer views an item (e.g., $20.00 CAD), the platform will interactively calculate and display all applicable fees (Shipping + Buyer Protection Fee) on the chat screen and the checkout section, showing the exact final price of $24.89 CAD (or the corresponding amount) before processing the payment.

5. Fees and commissions structure ($ cad)
All transactions within the Canadian marketplace will be processed in Canadian Dollars ($ CAD) under the following scheme
Buyer Protection and Service Fee (PAC)
Added to the item's cost and paid by the Buyer at checkout:
Buyer Protection Fixed $0.80 fee.
Nauzell Service Fee 5% of the item price (Nauzell's profit).
Shipping Label (Calculated via Shippo)
This must be presented publicly as an "Estimated Shipping Fee" or "Calculated Shipping Rate" (please show approximate examples, not closed/fixed universal rates).
Fixed Seller Transaction Fee
Automatically deducted from Seller's escrow balance prior to bank transfer:
Sales from $0 to $299.99 Fee is -$1.00
Sales from $300 to $799.99 Fee is -$2.00
Sales from $800 and above (No limit): Fee is -$3.00
Note: All payout money goes directly to their bank account. Stripe will charge them a standard payout fee for the transfer money to their bank.
Shipping Label Fee
The Buyer is solely responsible for paying the full cost of the automated shipping label generated through the platform.
6. Stripe connect secrow payment system

Escrow Funds Retention
Buyer funds will be securely processed and held in escrow by Stripe Connect. The money will remain in an independent, temporary holding account and will never enter the Company's general corporate accounts.

Release Mechanism ("Everything is OK" Button)
Transaction funds will be released to the Seller’s available balance only when the Buyer confirms safe receipt by clicking the "Everything is OK" button within the web application, or automatically fourteen (14) days after confirmed delivery if no dispute is opened.

7. Dispute policy and non-refundable fees

Claim Window
The Buyer has a strict timeframe of forty-eight (48) hours from physical package delivery to open a dispute if the item is counterfeit, significantly not as described, or suffers from severe hidden damage.

Irreversibility of Service Fees
The Buyer Protection Fee ($0.80 CAD + 5%) funds the digital infrastructure, mediation support, and secure gateway services, which are fully rendered at the time of purchase. Therefore, in the event of a mutual return, the Seller will refund the item price, but the Platform Fees are strictly non-refundable.

8. Privacy and pipeda compliance
- Personal Data Protection
In strict compliance with the Personal Information Protection and Electronic Documents Act (PIPEDA) and provincial privacy regulations (including Quebec's Law 25), we commit to encrypting and protecting all confidential user data..
- Handling of the SIN
The Social Insurance Number (SIN) collected under Section 2 will be transmitted directly and securely encrypted to Stripe for validation against official databases [🔒]. The platform will not store the SIN on plaintext servers, and it will only be shared with the CRA to comply with mandatory annual reporting obligations [🔒].

9. Centralized platform sales tax compliance ($30,000 cad)
- Non-Commercial C2C Status
The marketplace is strictly designed for occasional peer-to-peer (C2C) hobbyists selling personal, second-hand clothing. Occasional sales of personal used assets do not attract or require individual GST/HST collection by private individual Sellers.
- Centralized Platform Threshold
In accordance with the Canada Revenue Agency (CRA) digital economy laws, the Platform acts as the centralized digital distribution operator. To protect private users, the Company takes global responsibility for monitoring marketplace thresholds and managing applicable GST/HST obligations linked to platform volume once the $30,000 CAD regional small supplier limit is reached.
- Commercial Pattern Auditing
The platform utilizes Stripe Connect monitoring software to verify that users are operating within non-commercial hobbyist bounds. If an account permanently exhibits commercial store behaviors or operates structured retail resale operations, the system will mandate transition requirements to comply with CRA commercial reporting obligations.
