Terms and conditions – New Zealand (c2c platform)
Please read these Terms & Conditions carefully before using NAUZELL. These terms explain your rights, responsibilities, and how our marketplace operates for private individual users in New Zealand.

This platform is designed exclusively for private individual users in New Zealand (Consumer-to-Consumer).
Download PDF1. Nature of the Service and Eligibility
Peer-to-Peer (C2C) Venue Only
The Platform, operated by [Nombre de tu Empresa, S.L.] (hereinafter, "the Company", "We", or "Us"), acts exclusively as an electronic intermediary venue. The Platform facilitates the sale of second-hand personal clothingand accessories directly between private individual users residing in New Zealand (Consumer-to-Consumer or "C2C").
Exclusion of Commercial Entities
This Platform is strictly reserved for non- commercial, private individuals selling their personal items (hobbies). Registration, listing, or selling by commercial entities, shops, professional traders, or any individual operating "in trade" is strictly prohibited.
No Transfer of Title
The contract for the sale of any item is formed strictly and exclusively between the Buyer and the Seller. The Company does not take title to any item, offers no warranties regarding the products, and does not act as a merchant or retail distributor.
2. Exclusion of the consumer guarantees act (CGA)
Private Sales Outside of Trade
In accordance with the Consumer Guarantees Act 1993 (CGA) of New Zealand, statutory consumer guarantees regarding product quality, fitness for purpose, and returns only apply when a consumer purchases from a seller who is "in trade"
Explicit Exclusion
Since all Sellers on this platform are private individual users conducting occasional sales of personal items, users explicitly acknowledge and agree that CGA guarantees do not apply to items purchased on this web application. All sales are conducted on an "as is" basis, and there is no statutory right to a return for a change of mind or minor defects against the private Seller.
3. Mandatory collection of tax data (IRD & OECD regulations)

1. Automated Reporting Thresholds In accordance with the Digital Platform Information Sharing Rules enforced by the New Zealand Inland Revenue Department (IRD), the Platform is legally required to collect and report tax information for sellers who exceed specific activity limits.

2. IRD Number Requirement The system will automatically monitor individual account activity. When a Seller achieves more than 30 successful sales OR exceeds a gross annual turnover of $3,500 NZD (the local equivalent of €2,000) within a calendar year, they will be mandatorily required to provide their personal IRD Number on the platform.

3. Consequences of Non-Verification If the user fails to provide a valid IRD Number within fourteen (14) calendar days from the initial system notification, the platform (in cooperation with Stripe) will proceed to restrictively withhold pending funds and temporarily suspend their selling capabilities immediately.

4. Mandatory annual sales cap (hard limit)

Maximum Annual Sales
1. GST Threshold Security
To ensure full regulatory compliance and prevent private individual users from illegally operating as businesses without registering for GST, the platform enforces a maximum gross annual sales cap of $60,000 NZD per user account
2. Automated Account Lock
Once a Seller reaches $60,000 NZD in gross sales within the same calendar year, the web application's code will automatically deactivate their ability to publish new listings or receive further purchases until the commencement of the next fiscal year.
5. Pricing transparency and fair trading act compliance
- 1. Prohibition of Misleading Pricing In compliance with the Fair Trading Act 1986, all platform costs and service fees will be displayed transparently and in a desegregated manner from the initial stages of purchase, strictly prohibiting any hidden or last-minute charges
- 2. Chat and Product Page Breakdown: When a Buyer views an item (e.g., $20.00 NZD), the platform will interactively calculate and display all applicable fees (Shipping + Buyer Protection Fee) on the chat screen and the checkout section, showing the exact final price of $24.89 NZD (or the corresponding calculated amount) before processing the payment.

6. Fees and commissions structure ($ nzd)
All transactions within the New Zealand marketplace will be processed in New Zealand Dollars ($ NZD) under the following scheme
1. Buyer Protection and Service Fee (PAC)
Added to the item's cost and paid by the Buyer at checkout
Fixed Management Fee $0.80 NZD
Variable Protection Charge 5% of the item's listed sale price.

2. Fixed Seller Transaction Fees
Automatically deducted from the Seller’s escrow balance prior to the bank transfer
Sales from $0.00 to $299.99 NZD Fee is -$1.00 NZD
Sales from $300 to $799.99 NZD Fee is -$2.00 NZD
Sales from $800 and above (No limit): Fee is -$3.00 NZD
Shipping Label Fee
The Buyer is solely responsible for paying the full cost of the automated shipping label generated through the platform.
7. Stripe connect escrow payment system

Escrow Funds Retention Buyer funds will be securely processed and held in escrow by Stripe Connect. The money will remain in an independent, temporary holding account and will never enter the Company's general corporate accounts.

Release Mechanism ("Everything is OK" Button) Transaction funds will be released to the Seller’s available balance only when the Buyer confirms safe receipt by clicking the "Everything is OK" button within the web application, or automatically fourteen (14) days after confirmed delivery if no dispute is opened.
8. Dispute policy and non-refundable fees

1. Claim Window The Buyer has a strict timeframe of forty-eight (48) hours from physical package delivery to open a dispute if the item is counterfeit, significantly not as described, or suffers from severe hidden damage.

2. Irreversibility of Service Fees The Buyer Protection Fee ($0.80 NZD + 5%) funds the digital infrastructure, mediation support, and secure gateway services, which are fully rendered at the time of purchase. Therefore, in the event of a mutual return, the Seller will refund the item price, but the Platform Fees are strictly non-refundable.

Please Note Platform fees ($0.80 + 5%) are non-refundable as they cover infrastructure, mediation and secure payment services.
9. Privacy and privacy act 2020 compliance

1. Personal Data Protection In strict compliance with the Privacy Act 2020, we commit to protecting all confidential user data.

2. Handling of the IRD Number The IRD Number collected under Section 3 will be transmitted directly and securely encrypted to Stripe for validation against official databases. The platform will not store the IRD Number on plaintext servers, and it will only be shared with the New Zealand Inland Revenue Department to comply with mandatory global OECD reporting obligations.
10. International operator disclosure

Foreign Operation In compliance with the Fair Trading Act 1986, users are explicitly informed that the Platform is owned and operated by [Nombre de tu Empresa, S.L.], a corporate entity incorporated under the laws of Spain, with its main offices in Barcelona.

Digital Service All technological mediation, customer service, and conflict resolution infrastructure are provided directly from Spain.
11. Anti-money laundering and fraud prevention (AML/cft)

Security Screening To comply with national and international Anti-Money Laundering and Countering Financing of Terrorism (AML/CFT) regulations, the Platform and Stripe Connect reserve the right to monitor transactions for suspicious activity

Permanent Hold The Company reserves the exclusive right to freeze escrow funds, cancel ongoing transactions, or permanently ban accounts without prior notice if fraudulent behaviors, stolen payment cards, or identity spoofing are detected.
12. Governing law and jurisdiction

Jurisdiction These Terms and Conditions shall be governed by, and construed in accordance with, the laws of New Zealand.

Dispute Resolution Any legal action, dispute, or claim arising out of or in connection with the platform's C2C services that cannot be resolved through our mutual mediation system shall be subject to the non-exclusive jurisdiction of the courts of New Zealand.
